1. Acceptance of Terms

By accessing or using the Bizzie platform at bizzie.com.au (the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Bizzie Technologies Pty Ltd ("Bizzie", "we", "us", or "our").

We reserve the right to modify these Terms at any time. Changes will be notified via email or through the Platform, and continued use of the Platform after notification constitutes acceptance of the updated Terms.

2. About Bizzie

Bizzie is an online marketplace that connects people who wish to sell established businesses ("Sellers") with people who are interested in purchasing businesses ("Buyers"). Bizzie is a platform provider only. We do not act as a broker, agent, financial adviser, or legal adviser in connection with any transaction, and we are not a party to any agreement between Sellers and Buyers.

3. Accounts and Registration

To list a business or save searches on the Platform, you must create an account. You must be at least 18 years of age to create an account. You agree to provide accurate, current, and complete information during registration and to update this information as required.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at help@bizzie.com.au if you become aware of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that are found to contain inaccurate or misleading information.

4. Listing a Business

4.1 Seller Responsibilities

As a Seller, you are solely responsible for the accuracy, completeness, and legality of all content in your listing. You warrant that you have the legal right to sell the business described, and that all financial information provided is materially accurate to the best of your knowledge.

4.2 Prohibited Listings

You must not list any business that involves unlawful activities, is subject to an undisclosed legal dispute, has financial information that is materially misleading, or that you do not have authority to sell.

4.3 Listing Duration

Paid listings remain active until the business is marked as sold by the Seller or until the listing is removed by Bizzie for breach of these Terms. No refunds are available once a listing has been published.

5. Buyer Conduct

Buyers are responsible for conducting their own due diligence before entering into any agreement to purchase a business. Bizzie makes no representations regarding the accuracy of any listing information. We strongly recommend engaging independent legal and financial advisers before proceeding with any acquisition.

6. Fees and Payment

Listing fees are as set out on the Bizzie Pricing page and are inclusive of GST. Fees are charged at the time of listing publication and are non-refundable once the listing is live. Bizzie does not charge commission on the sale of any business listed on the Platform. Broker subscription plans are billed monthly in advance. You may cancel your subscription at any time and access will continue until the end of the current billing period.

All content, design, code, and materials on the Platform (excluding user-submitted content) are owned by or licensed to Bizzie and are protected by Australian and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

By submitting content to the Platform, you grant Bizzie a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display that content for the purpose of operating and promoting the Platform.

9. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" basis without warranties of any kind, express or implied. To the maximum extent permitted by Australian law, Bizzie excludes all liability for any loss or damage arising from your use of the Platform, including but not limited to loss of profits, loss of data, or any consequential or indirect loss.

Where liability cannot be excluded under the Australian Consumer Law, our liability is limited to the resupply of the relevant service or the cost of having the service resupplied.

10. Indemnification

You agree to indemnify and hold harmless Bizzie and its officers, directors, employees, and agents from any claims, damages, or expenses (including legal costs) arising from your breach of these Terms, your use of the Platform, or any content you submit to the Platform.

11. Termination

We may suspend or terminate your account and access to the Platform at any time if we reasonably believe you have breached these Terms. You may close your account at any time by contacting us at help@bizzie.com.au.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
